Foley & Lardner LLP is currently looking for a Project Assistant to join our Business Law Paraprofessional team. This role directly supports our client relationships, assisting with all aspects of corporate transactions and assisting with project management.  Our Project Assistants are responsible for preparation and coordination of transactional documents while assisting throughout all phases of client business transactions. #LIHybrid

Responsibilities

  • Assisting with preparing and filing corporate and transactional documents such as state forms and filings, entity formations, resolutions, consents, agreements, certificates, merger documents. 
  • Supporting attorneys and clients throughout all phases of venture financings, corporate and M&A transactions.
  • Assisting with corporate company governance, compiling and maintaining corporate records.
  • Conducting searches across public records.
  • Supporting attorneys and senior paraprofessionals with project management of transaction closings, updating checklists, compiling and obtaining closing signatures and closing sets.

Qualifications

  • Bachelor’s degree required; Paralegal certificate desired
  • Interest in emerging growth, venture capital, technology, life science and clean energy transactions, state and government agencies, entity management and corporate maintenance, due diligence
  • Ability to navigate work in a fast-paced environment, handling multiple deadlines as an integral member of client service teams to help achieve clients' business objectives
  • Excellent analytical, writing and editing skills, high degree of accuracy and attention to details
  • Advanced proficiency with MS Excel, Word, Carta and web-based research
  • Must be able to work overtime hours when needed

Pursuant to the California Pay Transparency for Pay Equity Act, the salary range for this Palo Alto or San Francisco based position is between $58,800 - $95,800.  These figures represent the full compensation range of this position. The actual offered amount will be determined based on the following factors: education, experience, geographic market, and internal pay equity at Foley.
